1. Service & Eligibility

Optcl provides a unified AI marketing operations platform for business use only. You must be authorized to bind your organization and use the Service lawfully.

2. Your Account

You are responsible for:

• Providing accurate information
• Keeping credentials secure
• All activity under your account
• Payment obligations

We may suspend or terminate accounts that violate these Terms or applicable laws.

3. Plans & Payments

• Pricing at /pricing (EUR, excludes VAT)
• Subscriptions auto-renew unless canceled
• Cancel anytime; access continues until period ends
• No refunds for partial periods
• Unpaid accounts may be suspended

4. Your Content & AI Outputs

You own content you upload. You grant us a limited license to operate the Service.

AI-generated content is provided for your use, but:

• You must review before publishing
• You are responsible for compliance with laws and ad policies
• Optcl uses third-party AI APIs and is not liable for copyright issues in AI outputs

You indemnify Optcl against claims from your content or campaigns.

5. Acceptable Use

Prohibited:

• Illegal activity or IP infringement
• Spam, malware, or deceptive campaigns
• Reverse-engineering or unauthorized access
• Violating third-party platform policies

Violations = immediate suspension/termination.

6. Intellectual Property

The Service, software, and proprietary features (Brand DNA RAG, Platform-Suggest Router) are owned by Optcl. You receive a limited license during your active subscription.

You may not copy, modify, or build competing products.

7. Third-Party Services

We integrate with external platforms (social media, Google Ads, Shopify, AI providers). We don't control them and aren't responsible for their changes, downtime, or policies.

AI features use third-party APIs—we don't create or control AI models.

9. Disclaimers

Service provided "AS IS" without warranties. We don't guarantee:

• Specific marketing results or performance
• Error-free operation or uptime (except Enterprise SLAs)
• Accuracy or originality of AI content
• Non-infringement of third-party rights

10. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for:

• Indirect, consequential, or punitive damages
• Loss of profits, revenue, or data
• Campaign performance or third-party issues
• Copyright claims from AI outputs or your content

Total liability capped at: Lesser of fees paid in last 12 months or €500.

Exceptions: Willful misconduct, fraud, or mandatory liability under German law.

11. Termination

Close your account anytime. We may terminate for Terms violations. Sections that should survive (IP, disclaimers, liability limits) remain in effect.

12. Governing Law

Governed by German law. Exclusive jurisdiction: Courts of Cologne, Germany.
